Terms & Conditions
These terms govern the web design, development, branding, SEO, paid advertising, social media and creative services provided by INFIN Digital. They are designed to set clear, fair expectations for how we work together.

01 Introduction
These Terms & Conditions (“Terms”) apply to services provided by INFIN Digital (“we”, “us” or “our”) to its clients. They work alongside the specific proposal, quotation or project agreement (“Proposal”) for your engagement; where a signed Proposal conflicts with these Terms, the Proposal prevails for that engagement. By engaging our services, requesting work or making a payment, you agree to these Terms.
02 Services and Scope
We provide digital services that may include web design and development, branding, digital marketing, SEO, paid advertising, social media, content and creative work, strategy and related services. Not every service is included in every project — services are provided according to the scope agreed in your Proposal. Anything not expressly included is out of scope and may be treated as additional work, which may incur additional fees and affect timelines.
03 Proposals, Fees and Payment
Fees are set out in the Proposal. Unless stated otherwise, work may begin after any required advance payment, payments are due per the agreed schedule, out-of-scope work and third-party expenses may be billed separately, and applicable taxes may be additional. Payment does not transfer ownership of unpaid work, and late payment may result in suspension of work.
04 Non-Refundable Payments
Because our services involve time, resources, planning, strategy, design, development, creative production and/or campaign work allocated specifically to your project, fees, deposits, retainers and other committed amounts are generally non-refundable once work has commenced or resources have been allocated. To the extent permitted by applicable law, advance payments, completed work and non-cancellable third-party costs are non-refundable. If a project is cancelled after work begins, we may retain amounts corresponding to work performed, resources committed and non-cancellable third-party costs.
05 Client Responsibilities
You are responsible for providing accurate information, content, logos and brand assets, any required access, timely feedback and approvals, and the necessary rights and permissions for materials you supply. Delays in providing required materials or approvals can affect project timelines.
06 Revisions and Additional Work
Revisions are subject to the scope agreed in the Proposal. Where a revision allowance is specified, revisions beyond it may be chargeable; where none is stated, additional revisions may be treated as additional work. Requests such as extra pages, concepts, features, integrations, campaigns, creatives or platforms are additional work and may incur further fees.
07 Website Development
Website work is delivered to the agreed scope. Client-provided content must be accurate and lawful. We aim for compatibility with current, widely used browsers and devices to reasonable industry standards. We do not guarantee permanent compatibility, zero bugs, zero downtime or unlimited support; future platform changes may require additional, chargeable work.
08 Performance Disclaimer
Digital marketing outcomes depend on many factors beyond our reasonable control. SEO is an ongoing process affected by algorithms, competitors and market conditions, so no specific ranking, traffic or revenue outcome is guaranteed. For paid advertising and social media, results depend on budget, market, competition, platform algorithms, creative, audience and other factors, so no specific leads, sales, impressions, clicks, ROAS, reach or engagement is guaranteed unless expressly agreed in writing. Advertising spend paid to platforms such as Google, Meta or LinkedIn is separate from our service fees unless stated otherwise.
09 Third-Party Platforms
Delivery may depend on third parties such as domain registrars, hosting providers, advertising and social platforms, email and CRM systems, payment providers, APIs and plugins. These are controlled by third parties, and except to the extent caused by our own negligence or breach, we are not responsible for their outages, policy or pricing changes, account suspensions, API or algorithm changes, or other failures.
10 Intellectual Property
Subject to the Proposal and to full payment where legally appropriate: materials you supply remain yours; our pre-existing materials, processes, templates, frameworks, tools and reusable components remain ours unless expressly agreed otherwise; third-party assets (fonts, stock, plugins, software) remain subject to their own licences; and final deliverables are transferred or licensed to you per the agreed terms. Unused concepts, drafts and source files are not included unless expressly agreed, and ownership does not pass until relevant fees are paid in full.
11 Portfolio and Confidentiality
Unless otherwise agreed in writing, we may display completed work in our portfolio, website, presentations and marketing to demonstrate our services; if you require confidentiality, let us know in writing and we can agree appropriate restrictions. Each party agrees to keep the other's confidential information private and use it only for the engagement, except where disclosure is required by law.
12 Cancellation and Suspension
Either party may terminate in accordance with the applicable Proposal. On cancellation by the client, fees for completed work remain payable, committed resources and non-cancellable third-party costs remain payable, advance payments are generally non-refundable (subject to applicable law and the agreement), and deliverables may be withheld until outstanding payments are settled. We may suspend work where payments are overdue, required information or access is unavailable, the client is in breach, or continued work would create a material legal or security risk.
13 Liability and Indemnification
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential losses, lost profits or revenue, lost opportunities, business interruption, or losses arising from third-party platform failures; nothing in these Terms excludes liability that cannot be excluded by law. To the extent permitted by law, you are responsible for claims arising from your content or materials, your products or services, your unlawful instructions, or your breach of third-party rights or applicable law.
14 Force Majeure and Governing Law
Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages, third-party platform failures, connectivity issues or changes in law. These Terms are governed by the applicable laws of India, and subject to applicable law, the courts having appropriate jurisdiction in Karnataka, India shall have jurisdiction over any dispute.
